Constitution
1. These terms of reference set out the terms on which a
committee of the Board to be known as the Nomination
Committee (“Committee”) shall be constituted and shall
operate.
Membership
2. The Committee shall comprise the Chairman,
Vice-Chairman, Secretary and Members.
Persons of interest who are not Committee members may
attend Committee meetings, at the invitation of the
Committee.
3. The Chairman of the Committee shall be the Appointed
Chairman of the Ladies International Poker Series.
4. The Secretary or his/her nominee shall act as
Secretary to the Committee.
5. The Chairman and other members of the Committee will
be disclosed in the Women in Poker Hall of Fame Charter
and Website.
Frequency of Meetings and Quorum
6. (a) Meetings shall be held annually and at such other
times and locations as may be deemed appropriate;
(b) A quorum of the Committee shall be two members
present throughout the meeting. Where only two members
are present, both members must be independent for the
valid transaction of business;
Authority
7. (a) The Committee is authorized by the Ladies
International Poker Series to provide a formal selection
and recommendation procedure for Women in Poker Hall of
Fame and new committee appointments as successors.
Duties
8. The Committee will:-
(a) review regularly the Committee structure, size and
composition and make recommendations to LIPS with regard
to any adjustments that are deemed necessary;
(b) evaluate the balance of skills, knowledge and
experience on the Committee and, in the light of this
evaluation, prepare a description and specification of
the role and capabilities required for a particular
appointment or re-appointment, including, where
appropriate, an assessment of the time commitment
expected;
(c) be responsible for identifying and nominating Hall
of Fame candidates for the approval of the Committee
Proceedings
9. Where at all possible not less than seven days' prior
notice of a meeting will be given - such notice to
include the distribution of an Agenda and supporting
papers in respect thereof to all Committee members.
10. Minutes of Committee meetings will be circulated to
all Committee members as soon as reasonably practicle
after each meeting.
11. Committee members will attend the Women in Poker
Hall of Fame Induction Event or identify a substitute
for assigned duties.
